Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and GHIVETECHNOLOGIES (OPC) PRIVATE LIMITED (CIN U62099KA2026OPC228987), registered office #156, 2nd Main, 4th Cross, Bangarappa Nagar, RR Nagar, Rajarajeshwarinagar, Bangalore South, Bangalore 560098, Karnataka, India (“GHive”, “we”, “us”). By creating an account or using the platform at ghive.co.in and related services (the “Platform”), you agree to these Terms, our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the Platform.

1. Definitions

• Host — a user who supplies GPU compute capacity to GHive from their own machine by running the GHive host software (agent/desktop app).
• Renter — a user who rents GPU capacity from GHive through the Platform.
• Instance — a running rental of GPU capacity, served from a Host’s machine.
• Wallet — your prepaid balance with GHive, held in Indian Rupees (paise), usable only to pay GHive for its services on the Platform. It cannot be transferred to another user or used to pay anyone other than GHive.
• Generation Service — GHive’s service that produces images and videos from your prompt (and, where offered, a picture you upload), through the website (“Studio”) or the API.
• Output — an image or video produced for you by the Generation Service.

2. Our role

GHive is the supplier of the services you buy. When you rent a GPU, you buy GPU compute from GHive, at the price GHive shows you, and GHive is responsible to you for it under these Terms. GHive obtains that capacity from independent Hosts under our Host Agreement. You do not contract with or pay the Host. The GPU hardware, electricity, network and operating environment are run by the Host, which is why availability depends on Hosts (Section 7).

The same applies to the Generation Service: you buy an Output from GHive, at the price GHive shows you before you submit, and GHive engages Hosts to produce it. Section 9A sets out the terms that apply to the Generation Service.

What you run on a rented GPU and the files you keep there are yours. GHive carries and stores them for you and does not look at their contents, apart from the automated checks described in our Privacy Policy and Acceptable Use Policy.

3. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for the accuracy of your account information and for all activity under your account.
• Keep your credentials, SSH keys and API keys secure. Notify us promptly of any unauthorised use.
• You must confirm your email address before you can use the Generation Service.
• Sign up with a permanent email address; temporary or disposable inboxes are refused. Do not create more than one account to get around a limit, to obtain promotional credit, or to rent from or pay yourself. We may suspend or close accounts we reasonably believe are linked for such a purpose, and cancel promotional credit and Host earnings obtained through them.

4. Pricing, Wallet and billing

• GHive sets the prices. Each GPU type has a rental price, which is what you pay GHive. GHive separately pays Hosts for the capacity it uses; what it pays a Host does not change what you pay.
• Renters pre-fund a Wallet. Usage is metered by GHive’s control plane (not self-reported by Hosts) and billed against the Wallet, typically per second of runtime.
• If your Wallet balance is insufficient, we may auto-stop your Instances to prevent unpaid usage.
• We may limit how many Instances you can run at the same time, and how many a single Host’s machines can serve at once.
• Promotional credit (for example a welcome or beta credit) is a discount funded by GHive, not money you paid. It is used before the rest of your Wallet balance, cannot be refunded, transferred or withdrawn, and may be withheld or cancelled where it was obtained in breach of these Terms or the Acceptable Use Policy. Promotional credit given before 1 January 2027 expires on 1 January 2027, and any of it still unused then is removed from your Wallet (see the Refund & Cancellation Policy).
• Host earnings accrue to the Host’s account. Payout of Host earnings to a bank account is subject to verification, applicable taxes and our payout process.
• For the Generation Service, each kind of Output has a flat price, shown before you submit and fixed when you submit. It is taken from your Wallet only when the Output is delivered to you (Section 9A).
• Taxes (e.g. GST) may apply and will be handled as described in our billing and tax practices.

5. Host obligations

• You must own or be authorised to rent out the machine and have the right to grant access to it.
• Provide reasonable availability and accurate specifications. Misrepresenting hardware (spec spoofing) is prohibited and may result in removal.
• Do not access, copy, interfere with, or attempt to read a Renter’s data or workloads, or the prompts, pictures and results of a Generation Service job your machine runs. Attempting to circumvent a Renter’s isolation or encryption is a serious breach.
• You are responsible for the security, cooling, power and lawful operation of your own machine.

6. Renter obligations

• Use the compute only for lawful purposes permitted by the Acceptable Use Policy.
• Do not attempt to break out of the provided container/instance, escalate privileges on, persist on, damage, or gain unauthorised access to the Host machine or network.
• You are responsible for your data and for backing it up. Instances are ephemeral: everything in an Instance is erased when it stops.
• SSH access is end-to-end encrypted. Browser access (JupyterLab and web apps) currently runs over unencrypted HTTP through our relay; do not use it for sensitive data.

7. Host GPU failure, downtime and interruptions

Host machines are independently operated and may fail, restart, lose power or network, or become unavailable at any time. GHive does not guarantee that any specific Host, GPU, or Instance will be available, performant, or uninterrupted, except where a separate written Service Level Agreement (SLA) applies (see Section 14).

• If an Instance fails or is interrupted, you are billed only for metered usage up to the point of failure; unused pre-funded amounts remain in your Wallet.
• Where an Instance fails to start or fails due to a Host/Platform fault, we will not charge for it and may issue Wallet credit (see the Refund & Cancellation Policy).
• GHive is not liable for Renter losses (including lost compute time, lost results, or lost profits) arising from Host failures or downtime, subject to Section 12.

8. Damage, misuse and responsibility between users

• A Renter who damages, compromises, or unlawfully accesses a Host machine — or uses it in breach of these Terms or the AUP — is responsible for the resulting loss and indemnifies both the Host and GHive (Section 11).
• A Host who tampers with, surveils, or harms a Renter’s workload or data is responsible for the resulting loss and indemnifies both the Renter and GHive.
• GHive provides tooling (isolation, metering, control-plane observation, audit logging) to reduce these risks but is not a guarantor of either party’s conduct and is not liable for the acts or omissions of Hosts or Renters.
• Disputes about a Host’s or Renter’s conduct may be raised with us. GHive may mediate, suspend accounts, withhold funds in dispute, or share information with law enforcement.

9. Acceptable use

Your use must comply with the Acceptable Use Policy, which prohibits, among other things, malware, intrusion/hacking, credential cracking, phishing, denial-of-service, cryptocurrency mining, illegal content, and generating nudity or sexual content. We may suspend or terminate accounts for violations.

9A. The Generation Service

• How it works. Your request is queued and run on a Host’s GPU. If a Host fails, we retry on another. How long it takes depends on which GPUs are available; times shown are estimates, not promises.
• Payment. You are charged the price shown only when an Output is delivered. A request that fails, times out, is refused, or is cancelled costs you nothing. You can cancel a request free of charge while it is still waiting for a GPU; once a GPU has started on it, it can no longer be cancelled.
• Screening. Every prompt is screened automatically before it runs, and requests that break the Acceptable Use Policy are refused. GHive does not generate nudity or sexual content. Repeated refused requests pause the Generation Service on your account for 24 hours, and a request for sexual content involving a minor leads to immediate suspension and may be reported to the authorities. We may refuse any request, and we may remove any Output, where we believe it breaks the law or the AUP.
• Keeping your Outputs. We keep only your most recent 9 Outputs. Older ones are deleted automatically, and Outputs you delete are deleted permanently. Download anything you want to keep. A record of the transaction is kept even after the file is gone.
• Your rights in Outputs. As between you and GHive, you own the Outputs made for you, to the extent the law allows, and you may use them for any lawful purpose, including commercially. GHive claims no ownership of your Outputs. We do not promise that an Output can be protected by copyright, that it is unique (similar prompts can produce similar Outputs for other people), or that it does not resemble someone else’s work; you are responsible for how you use and share it, including labelling it as AI-generated wherever the law or the platform you share it on requires.
• Third-party models. Outputs are produced with openly licensed AI models, used under their licences. Those licences’ use restrictions are reflected in the Acceptable Use Policy and apply to you.
• The API. API keys act as you, and everything done with your key is your responsibility. Keep keys secret and revoke any key you think is exposed. The API is subject to rate limits and the same prices, screening and rules as the website.

10. Suspension and termination

• We may suspend or terminate your access immediately for breach of these Terms or the AUP, suspected fraud, non-payment, legal requirement, or risk to other users or the Platform.
• You may close your account at any time. Outstanding obligations (including amounts owed and indemnities) survive termination.

11. Indemnification

You will indemnify and hold harmless GHive, its officers, employees and partners from any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of your use of the Platform, your content or workloads, your breach of these Terms or the AUP, or your violation of any law or third-party right.

12. Disclaimers and limitation of liability

The Platform is provided “as is” and “as available”without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that compute results, availability, or Host conduct will meet your requirements.

To the maximum extent permitted by law, GHive will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, or compute results, or for hardware failures, internet/power outages, or data loss — even if advised of the possibility. GHive’s total aggregate liability for any claim arising out of or relating to the Platform is limited to the greater of (a) the total fees you paid to GHive in the three (3) months preceding the event giving rise to the claim, or (b) ₹5,000. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Refunds

Refunds and cancellations are governed by our Refund & Cancellation Policy.

14. Enterprise agreements

Enterprise customers may enter into a separate Master Services Agreement, Service Level Agreement (SLA), Data Processing Agreement (DPA) and/or NDA. Where such a signed agreement exists, it supplements and, to the extent of any conflict, overrides these Terms for that customer.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified (e.g. by email or in-product). Continued use after changes take effect constitutes acceptance. The changes dated 24 October 2026 take effect for existing accounts on 1 November 2026.

16. Governing law and dispute resolution

These Terms are governed by the laws of India. Subject to any mandatory consumer protections, the courts at Bengaluru, Karnataka, India have jurisdiction, and the parties agree to attempt resolution through arbitration seated at Bengaluru, Karnataka, India under the Arbitration and Conciliation Act, 1996 before litigation, where permitted.
